07/4/2007 12:36 | There is approximately £7,300,000 yet to be paid for deferred consideration (from last interims section 8 in notes to accounts): Provision for cash contingent (with one year) 1,270,000 Provision for cash contingent (after 1 year) 1,000,000 Contingent consideration shares to be issued 5,030,000 Total £7,300,000 So, I would assume the seller is aware that any share issue deferred consideration is likely to dilute. Total market cap fully diluted in the region of £21m at current price levels....and short-term cash pot (hence dividend) likely to head the way of the aquired company creditors to satisfy £1,270,000 instalment payment.... I would assume that yet another 'don't worry everything is fine' statement is likely to be issued (as it always is when price falls). | orvil | |

Does this mean that between their VCT and IM arms, Singer hold in excess of 8% or are the VCT 3% part of the 5.2% held by IM? If their overall holding has risen to >8% then that would be a very positive development and it would be interesting to discover who had disposed of the shares. Clearly there is something holding the share price back, quite possibly the strategy of issuing stock to make acquisitions.
