Share Buyback and Total Voting Rights

Further to the announcement of 16 October 2023, the Company today announces that it has completed the buyback of 2,606,200 ordinary shares of 0.040108663 pence each in the Company ("Ordinary Shares") from Gary Martin, Janice Ritchie and Griffin Stenger (the "Buyback Shares"). The buyback of 620,348 Ordinary Shares from John Ketcham will be completed at a later date, and a further announcement will be made in due course when this purchase is completed.

The Company intends to cancel the purchased Buyback Shares immediately.

Total Voting Rights

Following the above transactions, the Company's issued share capital will consist of 318,925,491 Ordinary Shares with each Ordinary Share carrying the right to one vote. There are no Ordinary Shares held in treasury and therefore, the total number of voting rights in the Company following Admission will be 318,925,491. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure Guidance and Transparency Rules.
