    In conformity with Rule 5.6 of the Disclosure Rules and Transparency Rules we would like to notify the market of the following:

    The Company's capital consists of 41,253,763 redeemable participating preference shares of 1p (excluding treasury shares) each
classified as US Dollar Shares and 11,819,887 redeemable participating preference shares of 1p each (excluding treasury shares) classified
as Sterling Hedged Shares.   

    Therefore the total number of voting rights in the Company is 41,253,763 for the US Dollar share class and 11,819,887 for the Sterling
Hedged share class.

    The above figures (41,253,763 for the US Dollar share class and 11,819,887 for the Sterling Hedged share class) may be used by
shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a
change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
