Highcroft Investments PLC ("Highcroft" or the "Company")

Notification in accordance with LR 9.6.11

The Company wishes to announce that David Kingerlee, an executive director of the Company, has, on 10 December 2020, notified the board that he will in future, at Highcroft board meetings, be representing the interests of Kingerlee Holdings Limited and its subsidiary undertakings ("the Kingerlee Group") who have an aggregate beneficial interest of 27.2% in the share capital of the Company. The Kingerlee Group, together with its associates form part of the Kingerlee Concert Party which has an aggregate beneficial interest of 41.1% in the share capital of the Company.

David Kingerlee has confirmed that he will:

   --    continue to observe and be bound by the constitutional documents of the Company and 
   --    comply with the terms and conditions of his service agreement and 

-- perform his role as an executive director of the Company in good faith and for the benefit of the shareholders of the Company as a whole.

The Company's articles of association contain provisions regarding the management of any conflicts of interest and the Company will continue to ensure that these are followed.
