LETTER TO:  COMPANY ANNOUNCEMENTS OFFICE

The Company was informed today that, on the 30th June, 1997, Mr. William Tucker,
the Non-Executive Chairman of the Company, transferred 325,696 Ordinary shares
to a discretionary trust for no consideration. The trustees of this trust are
Mr. William Tucker and his son Mr. Nicholas Tucker, who is also a Director of
the Company but in an executive capacity.

Following this transaction, the interest of Mr. William Tucker in the Company's
Ordinary shares remains unchanged at 532,068, although the beneficial and
non-beneficial aspect is now 57,392 and 474,676 shares respectively.

The interest of Mr. Nicholas Tucker in the Company's Ordinary shares is now
681,574 with 627,824 being beneficial and 53,750 non-beneficial.

There is no change to either Mr. William Tucker's or Mr. Nicholas Tucker's
interest in the Company's 'A' Ordinary shares.
