On 17 July 2003, Premier Oil plc ("Premier") was informed that the Trustees of
the Premier Oil plc Employee Benefit Trust (the "Trust") had acquired, on that
day, 9,400,000 Ordinary shares of 17.5 pence each in Premier at a price of 32
pence per share. The shares were acquired for use both in connection with the
Premier Oil plc Executive Equity and Asset Incentive Scheme (the "Scheme") and
Premier employee share schemes. As beneficiaries of the Trust and participants
in the Scheme and the Premier employee share schemes, all Executive Directors
and certain employees have an interest in the shares for the purposes of Section
324 of the Companies Act 1985.
