The Executive Directors of Premier Oil plc, Messrs Jamieson and van der Welle, 
were each awarded shares as detailed below on 11th March, 2003 as part of a 
Deferred Bonus Plan. These shares were subsequently purchased on 24th April, 
2003 at 28.375p each.

These awards will be held in trust for a period of three years, after which they 
will be released to the individuals as detailed below:-

To be released on 10th March, 2006
 
Mr C J A Jamieson        610,000 shares 
Mr J A van der Welle     400,000 shares

 
Following this notification the Executive Directors' total beneficial holdings 
of shares will be as follows:-
