Notice of Annual General Meeting and Share Split

Copies of the Company's 2010 Annual Report and Financial Statements, Letter from the Chairman and Notice of Annual General Meeting have been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do . These documents are also available on the Company's website at www.premier-oil.com and from the head office of the Company at 23 Lower Belgrave Street, London, SW1W 0NR.

At the Annual General Meeting, which will be held on 20 May 2011, the Company will propose to its shareholders a 4:1 share split. If this is approved, immediately following the share split shareholders will hold 4 Ordinary Shares of 12.5 pence each for every Ordinary Share of 50 pence each previously held. Subject to approval, it is expected that the share split will take effect at 8:00 a.m. on 23 May 2011.
