DISTRIBUTION OF CIRCULAR AND NOTICE OF GENERAL MEETING

The board of directors (the "Board") of Grit Real Estate Income Group Limited, a leading pan-African real estate company focused on investing in and actively managing a diversified portfolio of assets underpinned by predominantly US$ and Euro denominated long-term leases with high quality multi-national tenants, wishes to inform shareholders of the Company (the "Shareholders") that a circular ("Circular") , also incorporating a notice convening a general meeting of Shareholders ("General Meeting") will be circulated and made available to Shareholders later today, 17 May 2021, setting out inter alia details regarding:

   -     Recommended proposals relating to the adoption of a new long-term incentive scheme; 
   -     Approval of the amended remuneration policy; 
   -     Receipt of the 2020 report and accounts; 
   -     Authority to make market purchases of ordinary shares; and 
   -     Disapplication of pre-emption rights. 

Notice is hereby given that the General Meeting will be held on 17 June 2021 at 3(rd) Floor, La Croisette Shopping Centre, Grand- Baie, Mauritius at 1.00 p.m. (Mauritian time) (10.00 a.m. UK time), at this General Meeting Shareholders will be requested to consider and, if deemed fit, to pass the resolutions set out in the notice of General Meeting (deemed to form part of the Circular).

The Circular is available in English only. Copies may be obtained during normal business hours from the registered office address of the Company from 17 May 2021 until 16 June 2021 (both days inclusive). A copy of the Circular will also be available on the Company's website ( https://grit.group/documents-circulars/ ).
