NOTIFICATION OF CHANGE IN AUDITOR

Grit currently holds primary listings on both the Main Market of the London Stock Exchange ("LSE") and on the Main Board of the Johannesburg Stock Exchange ("JSE"), with a secondary listing on the Official Market of the Stock Exchange of Mauritius Ltd ("SEM").

Shareholders are hereby advised that Grit's board of directors will not be proposing to shareholders that BDO & Co. be reappointed as the Company's joint statutory and JSE auditors at the next annual general meeting of the Company ("AGM"), anticipated to be held on or about 29 November 2018.

Subject to shareholders approval at the AGM, it is proposed that PricewaterhouseCoopers Mauritius be appointed as the sole statutory auditors and PricewaterhouseCoopers LLP be appointed as auditors for JSE and LSE purposes, at the AGM.
