Grant of Restricted Shares under the Goldshield Group plc Long Term Share
Incentive Plan - 2007

The Company announces that on 12th September 2007 awards of ordinary shares of 
5p each were made to senior executives under the Goldshield Group plc Long Term
Share  Incentive Plan - 2007 (the "Plan"), which included the following awards
made to executive directors.

Subject to the rules of the Plan and the satisfaction of the performance
conditions, these awards are anticipated to vest three years from the date of
grant.

In addition, Mr. Rakesh Patel has existing awards under the Goldshield Group plc
Unapproved Share Option Plan of 208,230 ordinary shares of 5 p each and also has
a beneficial interest in 549,791 ordinary shares of 5 p each representing 1.5
per cent. of the issued ordinary share capital of the Company.

In addition, Mr. Ajay Patel has existing awards under the Goldshield Group plc
Unapproved Share Option Plan of 238,016 ordinary shares of 5 p each and also has
a beneficial interest in 360,000 ordinary shares of 5 p each representing 1.0
per cent. of the issued ordinary share capital of the Company.

In addition, Mr. Mike Reardon has existing awards under the Goldshield Group plc
Unapproved Share Option Plan of 165,731 ordinary shares of 5 p each and also has
a beneficial interest in 1,000 ordinary shares of 5 p each representing 0.0 per
cent. of the issued ordinary share capital of the Company.
