Gear4music (Holdings) plc ("Gear4music" or the "Company"), the largest UK based retailer of musical instruments and music equipment, announces that, following option exercises under the Company's EMI Schemes on or before 3 June 2018, 78,207 new ordinary shares of 10p each ('Ordinary Shares') will be issued and allotted.

Director/PDMR dealings

Gareth Bevan (Chief Commercial Officer) and Chris Scott (Chief Financial Officer) will, following the exercise of options as part of the above arrangements, each be issued and allotted 9,978 Ordinary Shares, with their resultant respective interests in the Company's enlarged issued share capital as below:

Under the Company's Director Cash Plan, Andrew Wass (Chief Executive Officer) has exercised his entitlement to an award of GBP72,041, to be settled in cash.

Admission to trading

Application will be made for admission to trading of 78,207 new Ordinary Shares on the AIM Market of London Stock Exchange plc ("Admission"). It is expected that Admission will take place at 8:00 a.m. on or around 8 June 2018 and that dealings in the new Ordinary Shares on AIM will commence at the same time.

The new Ordinary Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares in the capital of the Company, including the right to receive all dividends or other distributions made, paid or declared in respect of such shares after the date of issue of the new Ordinary Shares.

Total voting rights

Gear4music's enlarged issued ordinary share capital immediately following Admission will be 20,945,328 Ordinary Shares with voting rights attached. The Company has no shares in Treasury; therefore the total number of voting rights in Gear4music is 20,945,328. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify an interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
