Result of Annual General Meeting 
 
GCP Student Living, the UK's first REIT focused on student residential assets, 
is pleased to announce that, at the Annual General Meeting held today, all 
resolutions were passed on a show of hands. 
 
Resolutions 1 to 10 related to Ordinary Business. Resolutions 11 to 16 related 
to Special Business, as set out below: 
 
Resolution 11 (ordinary resolution): To authorise the Directors to allot shares 
pursuant to section 551 of the Companies Act 2006. 
 
Resolution 12 (special resolution): To authorise the Directors to allot shares 
for cash pursuant to sections 570 and 573 of the Companies Act 2006 otherwise 
than in accordance with statutory pre-emption rights. 
 
Resolution 13 (special resolution): To authorise the Directors to make market 
purchases of the Company's own shares. 
 
Resolution 14 (special resolution): To authorise the Directors to convene a 
general meeting on not less than 14 clear days' notice. 
 
Resolution 15 (special resolution): To increase the maximum aggregate limit for 
Directors' annual remuneration contained in the Company's articles of 
association. 
 
Resolution 16 (ordinary resolution): To authorise the Company to use electronic 
communications with its shareholders.

About GCP Student 
 
The Company was the first student accommodation REIT in the UK, investing in 
modern, purpose-built, private student residential accommodation and teaching 
facilities. Its investments are located primarily in and around London where 
the Investment Manager believes the Company is likely to benefit from supply 
and demand imbalances for student residential accommodation. 
 
GCP Student's property portfolio comprises nine assets with c.3,450 beds which 
are either currently fully operational or expected to complete construction / 
refurbishment over the next two academic years. At 30 September 2017, its 
property portfolio was valued at GBP672.1 million. 
 
The Company's standing properties are mainly occupied by international students 
and offer high specification facilities and hotel-level concierge type services 
which the Investment Manager believes are attractive to overseas students.
