Belgravia Investors LLC recently completed the takeover of Gatekeeper Systems Inc via a cash merger under Sections 253 and 262 of the Delaware General Corporation Law. The proceeds have now been released to entitled holders.


How has my portfolio been affected?


You have received a payment of US$0.33 for each Share held. Please note that the cash was received in US Dollars and was converted from US Dollars to Pounds Sterling on the day of receipt, with US$1.00 being equal to 60.43021p pence. As a result you have received 19.942p per Share.

Now they have their cancellation approved they have decided not to bother to increase the tender offer. Continued very poor investor relations!!

At last some sensible behaviour by the company. Leaving the shareholders high and dry with a far too small tender offer would have been appallingly bad investor relations and entirely unprofessional IMV. If you are going to do a takeover by the back door at least allow the private investors a proper opportunity to sell.

It was a ridiculous plan to force most private investors to sell (due to the take private), but then to provide vastly insufficient liquidity for them to sell!

"Gatekeeper has extended the Offer to provide its Board of Directors additional time to evaluate increasing the number of Common Shares subject to the Offer in order to accommodate stockholders who have tendered their shares or desire to tender additional shares."

All - I would suggest you tread very carefully here. One of the Directors is Peter Greensmith. He has been responsible IMO for the demise of other companies such as LNR (now FBG). Also EVER. Check out EVERGREEN SECURITIES. It changes its name every 5 minutes. V dodgy. IMO you have lost your entire investment here

agree with Masurenguy:this is not an actively traded share and can languish for months.
I bought at 52p and for a variety of reasons,am still holding....won't go into that now!
This is still a very small cap.They have made a paltry profit this time if you consider turnover.However,service charges in USA doubled...a good sign.They prepared extra staff for a European expansion that was stymied by the credit crunch....but,as people get more strapped for cash and steal more from supermarkets and supermarkets need more security they will turn to GKR.
The high peak electricity thing is interesting,too...being sold to their existing clients.Just don't understand why profits are so low.They serviced one client with 700 outlets.Someone enlighten me.
We have the possibility for a big share price gap up...but,this company is not on the radar yet.However,today's dramatic rise proves that we're not dead!I was beginning to feel that I was the sole investor.
Pity their figures are in dollars.Always a bit offputting for the london market.I think this has to be a longtime hold.

Just had a lil punt @17p just love the way the share price is slowly rising n the spread to put off investors which in my opinion is a huge plus

he website looks ok to me.Take a look at the list of distribution partners worldwide.
Have a glance at Market Watch which was last updated yesterday.Anyone wanting a good idea of supermarket activity should check this list each day.All the info you need about the world of supermarkets.For a comprehensive update on deals etc,Gatekeeper's website is a useful tool for investors.
I must admit that this company does'nt care to issue rns...thereby leaving us pi's in the dark.
However,the lack of interest in GKR makes my heart heavy.Why is it so unloved?

Unfortunately I think the markdown is fair given the level of incompetence shown. Profit has more than halved compared to an update given on 8 November after 10 months of the year. GKR don't seem to feel it necessary to bother to explain why they were so far out. Very poor investor relations.

31 December 2007, total revenue is anticipated to be at least U$28.0 million
(compared to U$29.6 million in 2006). Net income is expected to be at least
U$1.0 million (compared to $2.4 million in 2006)."



"Gatekeeper Systems Inc., ('Gatekeeper') announces that it expects total revenues for the current financial year ending 31 December 2007 to be in the range of U$31.0 to U$32.0 million (compared to U$29.6 million in 2006). Net income is expected to be in the range of U$2.2 to $2.5 million (compared to $2.4 million in 2006)."
