                        Total Voting Rights and Capital                        

The Company is issuing 183,741 ordinary shares to one of its employees who
elected to take part of his bonus arrangements in equity and thereby increase
his holding in the Company. Application has been made for these shares to be
admitted to trading which is expected to occur on or about 8 April 2008.

Following the admission of these shares to trading, the Company's voting
capital will consist of:

As the fixed cumulative preferential dividend on the Preference Shares is more
than six months in arrears, shareholders of the Preference Shares are entitled
to vote at general meetings of the Company's shareholders.

The Company does not hold any shares in Treasury.

The issued ordinary share capital is therefore 38,152,678 and the total number
of voting rights for the Company is 39,196,244

The latter figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Garner Plc under the FSA's
Disclosure and Transparency Rules.
