   Capital Structure following Grant of Options to Employees and a 
                             Consultant 
 
A total of 1,375,000 options has been granted by Finders Resources 
Limited (Company) for no consideration to employees and a consultant. 
The granting of these options was made in accordance with the Finders 
Resources Limited Employee Incentive Option Scheme (875,000 options) 
and under a consultancy agreement (500,000 options).

Each option provides the right to acquire one ordinary fully paid
