     Capital Structure following Grant of Options to a Director 
 
A total of 2,000,000 options have been granted by Finders Resources 
Limited (Company) for no consideration to an associate of Mr. Robert 
Thomson, a Director of the Company. The grant of these options was 
made in accordance with the Finders Resources Limited Employee 
Incentive Option Scheme and with approval by members of Finders 
Resources Limited at an extraordinary general meeting held on 4 May 
2009. 
 
Exercise price is 30 cents. 
Grant Date: means 8 May 2009. 
Expiry Date: means the date which is 5 years after the Grant Date. 
Vesting Dates: means the dates as follows: 
 
                   (i)                   750,000  options vesting  on 
completion of the  Wetar definitive feasibility  study, evidenced  by 
securing funding sufficient  to proceed to  the development phase  of 
the full scale project, and 
                  (ii)                   1,250,000 options vesting on 
the commencement of commercial production  from the Full Scale  Wetar 
Copper Project. 
 
Exercise Period: means the period from the Vesting Date to the Expiry 
Date. 
Full Scale Wetar Copper Project: means the Wetar copper project 
commissioned to produce the rate approved by the Board following 
completion of a feasibility study.
