Renaissance Entertainment Corporation Approves Reorganization Agreement

LOUISVILLE, Colo., Nov. 4  /PRNewswire-FirstCall/ -- Renaissance Entertainment Corporation (OTC:FAIR) announced today that the Board of Directors has unanimously approved a Reorganization Agreement and Plan of Merger with Knight Acquisition Corporation, a subsidiary of Ellora Entertainment, LLC.  The result of this agreement would be the purchase of all outstanding shares of REC's common stock held by non-affiliates at $0.03/share.

Given the Company's need for additional working capital, the Board of Directors recommended that the Reorganization Agreement be approved.  The Reorganization Agreement is subject to stockholder approval.  A special meeting of the stockholders is scheduled for December 15, 2005 to vote on the agreement.

The Company's faires currently serve three of the largest metro areas in the country including New York, Milwaukee/Chicago and Los Angeles.  The Renaissance Faire is an outdoor family entertainment event which romanticizes the ambiance of a Renaissance era marketplace and includes craft shops, period food, dancers, jousters, musicians and historical characters from Elizabethan England.
