I think it's a good move. F&C are a class outfit, but I'm not convinced the board were getting it right. They need to focus on ORGANIC growth and forget expensive acquisitions. If you are going to do acquisitions, then they should have taken the better route that Henderson have taken of buying LOW - New Star and Gartmore were both pretty good deals.

That's the chance you take tom111 and I may have made a mistake but I'm currently sitting on a 30% profit on my investment in FCAM and am happy with that. Good luck to all holders I hope it does result in a rise in the share price and if so and it looks a good long term bet I may well get back in when the dust settles.

F&C Asset Management plc ("F&C") announces that the ordinary resolutions (the "Resolutions") proposed at the General Meeting requisitioned by Sherborne Investors GP, LLC ("Sherborne") which was held earlier today at Jp Morgan Cazenove, 20 Moorgate, London EC2R 6DA were passed by way of a poll vote and without amendment. As a result, Nick MacAndrew and Brian Larcombe have ceased to be Directors of F&C and Edward Bramson, Ian Brindle and Derham O'Neill have been appointed as Directors of F&C.

I'm at the meeting in Moorgate, they have done the vote and ajourned for an hour for counting. Resume at 12:40.

Bramsom answered a few questions but would not talk about his history with a couple of failed ventures in US.

He wouldn't comment on Rights Issue

Sherborne Wins, What happens 1)those who supported the current board (and whoses assets account for alot of AUM) are unlikely to renew management contracts and there will be huge outflows -not good 2) Consultants will put company on watchlist -AUM, will decrease and new assets will be difficult to attract - not good

or

Outcome B)
Sherborne Loses, What happens: they will most likely sell their stock which they bought at 59p odd. even if the share price collapses 30% they will have still made 10% - not bad for a few months..

Surely if some big hitters take over, the market buy in to get into the action, just look at the share price over the past month just on the chance of a change.

It will be well over a 100p on Thursday if Branson wins the vote

Probably because of their other dealings with Sherborne. The current share price is still way below where it could be and with management at last seeming to be on top of things why change now? Besides, what exactly are Sherborne going to do differently, I haven't heard anything of their intentions yet, other than seats on the board?

Why would Aviva, aren't they the biggest F C shareholder, have backed Branson/Sherborne if it wasn't good for the company/shareprice?

Boring as the existing board may be, I would vote for no change. Sherborne have had some successes, but their record of turnarounds is far from perfect. Some would say (including me) that their record has been a bit hit and miss. Wait till the dust settles seems a good plan to me. For myself, as a previous fan of the company, I sold out shortly after Sherborne's shenanigans began and I suspect the dust will still be circling 12 months from now.

While I'm posting, I'm voteing for Branson for chairman because I think the share price will shoot up.

I'm going to to the EGM to see the fireworks, I live in London and have the over 60s travel pass, so nothing to lose.

Anybody else going???

What the hell is happening, I owned some Friends Provident shares from years ago, Resolution took them over and gave me some F & C shares which are now about to be sort of taken over by Bramson.

Now I read that Resolution is about to float Friends Provident back on the stock market.

Will Resolution S Holders get options to buy Friends Prov????

I can see this share been volatile for a couple of weeks or so till the dust settles,in the meantime ive sold at 91p and await developments.
