                    Notice of Extraordinary General Meeting


Eleksen Group plc, which makes smart fabrics that can be used to control
electronic devices such as smartphones and MP3 players, announced on 23 November
2006 and on 15 January 2007 that it had raised a total of #5.68 million through
the issue of 7.5% Convertible Secured Loan Notes 2009.


The Company has posted a circular to its shareholders convening an extraordinary
general meeting ('EGM') to be held at the Company's registered office, Pinewood
Studios, Pinewood Road, Iver Heath, Bucks, SL0 0NH on 14 February 2007 at 10.00
a.m. The purpose of the EGM is to ask shareholders to vote in favour of the
following resolutions, namely to disapply the statutory pre-emption rights
pursuant to section 95 of the Companies Act 1985 ("the Act"), and to authorise
the Directors in accordance with section 80 of the Act to allot relevant
securities up to an aggregate nominal amount of #2,500,000. The notice of EGM
including a letter from Peter Denyer, Chairman of the Eleksen Board of
Directors, explaining the requirement for the resolutions has been posted to
shareholders.
