Result of General Meeting and Issue of Equity
Duke Royalty Limited, the AIM quoted provider of alternative capital solutions to a diversified range of profitable and long-established businesses in Europe and abroad , is pleased to announce that the Resolution was duly passed by Shareholders at the Company's General Meeting held today in connection with the Fundraising to raise GBP35 million (before expenses).
Accordingly, an application has been made for 100,000,002 New Ordinary Shares, representing the 91,428,573 Placing Shares and the 8,571,429 PrimaryBid Shares, to be admitted to trading on AIM ("First Admission"), which is expected to be take place at 8.00 a.m. on 19 April 2021 .
The Company also announces the issuance of a further issuance of 104,576 new Ordinary Shares in the Company in lieu of compensation due to Duke's Investment Committee. Application has been made for these new Ordinary Shares to be admitted to trading on AIM ("Second Admission"), which is expected to take place at 8.00 a.m. on 20 April 2021 .
Following First Admission, the Company will have 357,906,909 Ordinary Shares in issue carrying voting rights admitted to trading on AIM. Following Second Admission, the Company will have 358,011,485 Ordinary Shares in issue carrying voting rights admitted to trading on AIM.
These figures may be used by Shareholders as the denominators for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules following First Admission and Second Admission respectively.
