   Issue of Equity 
 
   The Directors of Downing FOUR VCT plc announce an allotment on 19 June 
2017 of Generalist Shares of 0.1p each ("Generalist Shares") and 
Healthcare Shares of 0.1p each ("Healthcare Shares") pursuant to the 
Offers for Subscription that opened on 8 December 2016 ("Offers") as 
follows: 
 
   1,017,852 Generalist Shares at an average price of 104.51p; and 
 
   796,701 Healthcare Shares at an average price of 104.87p. 
 
   Application for the shares to be admitted to the Official List of the UK 
Listing Authority and to trading on the London Stock Exchange's market 
for listed securities will be made shortly. Dealings are expected to 
commence on or around 23 June 2017. 
 
   The Company further announces that 44,050 Generalist Shares and 9,825 
Healthcare Shares that were allotted on 5 April 2017 have now been 
forfeited and cancelled following the failure by two investors to pay 
the sums due on these shares.  The forfeiture and cancellation of the 
shares has taken place in accordance with the process set out in the 
Company's Articles of Association.
