FOR IMMEDIATE RELEASE 15 June 2009 DISCOVER LEISURE PLC ("Discover Leisure" or "the Group") GROUP RESTRUCTURING SIGNLEASE COMPANY VOLUNTARY ARRANGEMENT APPROVED The Directors of Discover Leisure are pleased to announce that the proposed Company Voluntary Arrangement (CVA) dated 29 May 2009 was accepted at the Creditors' Meeting held today and that the new banking facilities have been signed. The CVA proposal was subject to a number of modifications required by HM Revenue and Customs. These include a provision for additional voluntary contributions from Signlease Ltd into the CVA of not less than 50% of any rise in net income after provision for tax subject to the Group's cashflow and approval by the Group's Bankers. The acceptance of the CVA is subject to a 28 day appeal period, during which creditors can challenge the decision of the meeting upon certain limited grounds. Following the signing of the new banking facilities, Discover Leisure has agreed to issue warrants over 5% of the fully diluted issued share capital of the Company to Royal Bank of Scotland. The warrant may be exercised to subscribe for shares at their nominal value of GBP0.007 each and can be exercised at any time during the first six years following the date of issue. The terms of new banking facilities are as announced on 29 May 2009 with the following variation. The interest rates on the GBP5m non performing loan are now 2% above Libor to 1 March 2010, 4% above Libor for the nine months to 1 December 2010, 8% above Libor for the nine months to 1 September 2011 and thereafter at 16% above Libor. In addition, covenants have been set in respect of the following four measures: * Gross profit * EBITDA * Loan to Asset value * Net Cash flow available for Debt Service Liability The covenant levels vary across the period of the loans. | 99charlie | |
