Notice of Amendments

NOTICE IS HEREBY GIVEN to the Noteholders of the above Notes that, pursuant to a restructuring deed entered into between, amongst others, the Issuer and the APC Security Trustee dated 30 November 2010 (the "Restructuring Deed"), the parties thereto agreed to and directed the APC Security Trustee to consent to, inter alia:

(1) amendment and restatement of the APC Loan Note Issue Agreement as set out in the relevant schedule to the Restructuring Deed; and

(2) amendment of the APC Master Framework Agreement, Receivables Securitisation Deed and Terms and Conditions of the Notes as set out in the Restructuring Deed.

Capitalised terms not defined in this notice have the meanings given to them in the Prospectus dated 21 November 2007.
