      Recommended offer by Corporate Synergy Plc on behalf of the Company
                to acquire the entire issued share capital of 
                    Academy Childcare Group Plc ("Offer").



Further to the extraordinary general meeting of the Company held today, CEC is
pleased to announce that all of the conditions of the Offer have now been
satisfied or waived and therefore the Offer is declared unconditional in all
