                                  Offer Update


The board of CEC announces that by 3pm on 28 January 2005 valid acceptances had
been received pursuant to the recommended offer for Academy Childcare Group plc
("Academy") in respect of 30,912,203 Academy shares (representing approximately
70.8 per cent. of the existing issued ordinary share capital of Academy) which
together with the 12,745,423 Academy Shares representing 29.2 per cent. of the
existing issued ordinary share capital of Academy already owned by CEC prior to
the start of the Offer period, takes the total number of Academy shares now
owned by CEC to 43,657,626, representing 100 per cent of Academy's share issue.
Accordingly the Offer is now closed.

Application has been made to admit a further 2,355,687 new ordinary shares of 1p
each in the capital of CEC in respect of acceptances received between 19 January
2005 and 28 January 2005.  Admission of these shares is expected to take place
on 2 February 2005.  Such shares will rank pari passu with the existing shares
of CEC currently in issue.
