Morning all,

Buyers still sniffing around these looking at the last 3 x 0.50p trades...still a very slow burner but a short breather at these levels is fine until bigger buyers come in again without news....all helps to build support for the next leg up...all imo and always dyor.

And whilst I do not profess to understand all of these ways, I understand one thing: to be incredibly successful in this market, one must have the ability to see what everyone else has seen and think what no one else has thought. From Craven House Capital's viewpoint, the implications of the transaction are substantial for the following reasons: 1. It not only formally validates the financial powerhouse that is Desmond Holdings (Craven's largest shareholder with a 21% stake) but also demonstrates the enormous potential for organic growth with Desmond as the company's investment manager. Put simply, Craven's market cap is £3.9m yet its assets are sourced, secured and managed by a manager who's got access to circa £50m! Bear in mind, the latter figure is only what has been deduced through the announcement. I believe Desmond Holdings (Hong Kong based) has access to capital far in excess of this. And from a valuation point of view, and assessing the growth prospects (the company has the potential to target assets within the £25m – £50m valuation range), Craven's market cap should be significantly north of where it is today. 2. It not only secures an established route-to-market for Craven's existing food processing businesses in South Africa but also presents a speculative play where consolidation of agricultural assets is now a real possibility: EmVest Food Products (has an 11.8% stake in CRV), EmVest Asset Management (Craven holds 49%), and Vos Ltd (through Desmond – 21% stake). Together, the assets could create a notable player in the food and distribution business in South Africa with a market valuation in excess of £55m. 3. It presents a speculative play where Desmond Holdings could, quite rightly, exploit the low valuation of the company by making an outright offer for the entire business. This would be a cheaper route to consolidation. Scyther, remember my opening statement; to be incredibly successful in this market, one must have the ability to see what everyone else has seen and think what no one else has thought. "The LOI contemplates a purchase price of $65-million, to be satisfied through the issuance of 135,416,667 common shares of Desmond at a deemed price of 24 Canadian cents per share, and the sum of $32.5-million (U.S.) in cash, in exchange for all the issued and outstanding share capital of Vos. The consideration shares will be subject to escrow and other release schedules, the terms of which are yet to be finalized. At present it is not contemplated that there will be any change to the board of directors of Desmond or any material changes to its senior management.

A concurrent financing will be conducted in connection with the acquisition in order to satisfy the purchase price requirements, the terms of which remain to be agreed. Finders' fees may be payable in connection with the financing, subject to compliance with the exchange's policies and subject to exchange approval. Further details on the terms of the financing will be announced when finalized."

So MP has found finance for up to 15 times the value of Desmond, he seems to be the Paul Daniels of AIM and I for one am VERY glad to be in here.

Still don't see how it will directly benefit CRV..?

Does anyone know the market cap of Desmond investments ltd as I can't seem to find the market listing in Canada?

The deal for emvest was announced by CRV a whole 7 months after it was originally proposed so we could be in for a long while to see what is happening?

Also how are Desmond going to satisfy the cash component to that deal?

Very surprised that people haven't latched on to CRV today, there is still time of course. Just goes to show how under the radar we are..

Desmond Holdings manages the day-to-day operations of Craven House Capital and reports to a non-executive Board of Directors which acts in a supervisory capacity.

Mark Pajak - Acting Chairman & Non-Executive Director

Mark Pajak is responsible for the overall performance of Craven House Capital. His duties include chairing the investment committee and direct board level involvement with the portfolio companies. Prior to his role at Craven House Capital, Mr. Pajak was Managing Director at Desmond Holdings and a member of their investment committee. He is also President and CEO of Desmond Investments Ltd, a company listed on the TSX Venture Exchange in Toronto.

Re-read the report again.. The deal is between Desmond investments and the seller for 65 mil us and has no bearing at all to CRV directly.
What it does show is that our principal shareholder has deep pockets.

It's like I said the other day, some will see this price as decent value compare to a few weeks ago when their shares were worth 50% less after holding from previous levels....no news so they won't risk holding......that's AIM for you....and why MMs love it. They will take people's shares and try to spook others into selling quick...and there will always be those that sell into strength and the dips.....

Short term profits versus long term gains. I can understand people selling. But before they contemplate it, they should read and then re-read Wealth Managers post. If it goes through, then CRV would be valued at between £40 and £50 million, compared with just £3.8 million currently. I'm holding.
