10/4/2017 12:54 | How many shares does the SAG hold between them and has this been independently verified to withstand a challenge? Is the SAG confident that their verifiable holding is more than the combined controlling interest?I agree with Andy. The Group would likely need joint legal representation to qualify the combined SAG holding and to test the SAG claims and demands. More than a few hours I think. However, I think it would be a waste of effort to have a NED. If the company is as dishonest as it seems to be, a NED can easily be hoodwinked unless extremely smart. If they spot something they are out-voted. Are the rules for NEX the same as for AIM (which are very relaxed and rely on self-regulation by nomads). | nod
10/4/2017 12:24 | Where has all the money gone? Why is there no saleable product? - there is not even a mobile app any longer, which we had in 2014.On 4th December 2014 Amit (then a consultant) was paid GBP250,000 for raising GBP800,000 to COMPLETE development of the company's product. How could any business be so wrong?Since 4 December 2014 many GBP millions have been raised and apparently spent, with no product in sight. Not even a mobile app.CloudRag "is pleased to announce that it has concluded a fundraising of £800,000 before expenses with new investors. The new funds will be used to complete the Company's development of its proprietary wearable technology, fund the release of the cloud supported version of the mobile app, MyCloudtag, and for general working capital purposes."is pleased to announce that it has concluded a fundraising of £800,000 before expenses with new investors. 10/4/2017 12:18 | Wshak, I wasn't sugggesting the SAG sue anyone, I think it's too late for that now, and in any case, there would be nothing left to recover IMO. What I was suggesting was the SAG take legal advice as to how they deal with the company, what their rights are as shaholders, and what demands they can make of the company going forward. This would include, if necessary, calling an EGM to elect a NED, if Amit refuses. That should ony cost two or three hours of time, and could easily be raised, maybe using a crowdfunding site for expediency. | andy
10/4/2017 12:10 | WShak, you can take a horse to water... This is basic business common sense - or at least should be. I just don't get the ongoing ignorance shown by the massed PIs (I'm quite sure there's a few with ulterior motives, but almost all of them???). Delighted that I will get out of this one with only a few hundred quid lost, no matter what happens. Sad for those who got suckered for serious money... | headinthesand
10/4/2017 12:09 | It seems obstructive that CRAG states it is managed and controlled in Switzerland and yet gives a Cayman phone number for Amit, who lives in Switzerland. Is there a full copy of the 2016 Annual Report and Accounts available online? In the recent financial summary CTAG wrote:Publication of Annual Report and Notice of AGMThe accounts for the year ended 30 September 2016 will be posted to shareholders shortly and laid before the Company at the Annual General Meeting details of which will be announced in due course. Copies will also be available on the Company's website (www.cloudtag.com) in accordance with AIM Rule 26. CloudTag Inc.Amit Ben-Haim / Jamie Bligh+1 345 949 45 44contact@cloudtag.c | nod
10/4/2017 12:01 | headinthesand, I thought your 3 questions on LSE (duplicated below) were bang on the money. It seems strange that non-one on the SAG seems interested in them. If those questions aren't even going to be asked (I don't expect them to be answered!), what is the point of the SAG? "Dear CTAG BoD, A. Where has the money gone? Please provide a full breakdown of past expenditure to date and fully justify. B. How much more money does the company need? Please provide a full breakdown of future expenditure required and fully justify. C. Why should shareholders now believe a single word you say? In providing a fully justified answer, please take into account your track record on the veracity of company-issued statements so far. That should about cover it - regardless of the fact that it's extremely doubtful IMO that ABH/the CTAG BoD will satisfactorily and/or cast-iron reliably answer any of the above." | wshak
10/4/2017 11:48 | On 22 March 2016 (AR) the company stated it was managed and controlled in Switzerland. This presumably refers to the major shareholder, Corvus/Regan, and CEO Amit both being resident in Switzerland.Yet, in December 2016 we were informed that Corvus had sold its holding two years previously and was no longer a holder.None of this makes sense because it's misrepresentation. No | nod
10/4/2017 11:45 | It was news to me that AberdeenMan was (allegedly) one of the three CTAG SAG representatives. That's a potential concern. I'm having trouble seeing how any objection to getting a board presence can even be reasonably raised? I cannot for the life of me fathom why, after all this time and all the BS, many CTAG shareholders are still apparently prepared to solely rely on ABH and his board for all company information? Some are saying "let's not shake up the board". Ridiculous. How would getting an NED added shake up the board, if they're playing by the rules? Why wouldn't ABH welcome the chance to demonstrate what a fit and proper custodian of shareholders' interests he is? | headinthesand
10/4/2017 11:22 | Andy, Spending £20 to take legal advice is a waste of £20, IMHO. What's the best case here? A law firm says that they have a cast iron case against the board members and/or Cairn, and they can make a claim against the NOMAD's insurers? If that's the case, the same law firm will offer its service free of charge, and look to recover fees from whatever money it can extract from those parties, along with a success uplift. There's no need to spend £20. As far as I'm aware, the only firm that is willing to take on such a case is the one connected to Shareprophets that is currently acting for AFPO shareholders. I'm not sure CTAG shareholders want to flood towards that particular site with cries of "help us!". Getting a Court of Law to recognise that shareholders have been ripped off is only a tiny portion of the battle. How on earth will any money be recovered from foreign entities across various jurisdictions? There's a reason why CTAG was set up this way. | wshak
10/4/2017 11:20 | Annual Report dated 22 March 2016 for y/e 30 Sept 2015, page 13"Domicile and principal place of businessCloudtag Inc. is domiciled in the Cayman Islands and is managed and controlled in Switzerland. 10/4/2017 11:15 | Annual Report dated 26 March 2015 for year ending 30 September 2014, page 7. The EGM in London was held within the following financial year to September 2015."Domicile and principal place of businessCloudtag Inc. is domiciled in the Cayman Islands and its principal place of business is the Cayman Islands. Cloudtag Active Ltd. is domiciled in the UK and its principal place of business is the United Kingdom." | nod
10/4/2017 10:57 | Nod, Ok many thanks. If anyone has the intention of attending the EGM, I flew a BA hotel and flight package to St. Helier for £150 last year, from Gatwick, and stayed in one of their top hotels too. So quite reasonable if you hold a large investment in CTAG. | andy
10/4/2017 10:50 | Andy, the registered address was always the Cayman Islands. In January the registered office address changed within Cayman. | nod
