Directorate Change

Cellcast plc (AIM: CLTV) is pleased to announce the appointment, with
immediate effect, of Samuel Malin as non-executive director of the Company.

Mr Malin is a professional engineer with over 30 years' international business
experience, particularly in Africa, and strong project management
capabilities. Mr Malin founded Madagascar Oil, holding the position of CEO
between 2003 and 2006 and then as Director to 2008, helping to raise $125
million and increasing the valuation of the company to over $1 billion.
Between 2013 and 2014, he was CEO of Vanoil Energy Limited, a company with
significant oil and gas exploration interests in east Africa. Currently, Mr
Malin is Chairman of Burke's Peerage Limited and Frigate Exploration. Mr Malin
has a strong communications and technology component to his background, having
worked also for companies such as Dimension Data (now part of Nippon Telephone
and Telegraph), Data Research International (part of McGraw-Hill) and Saladin
(now within Fidelity National Information Services). He is also an Honorary
Consul for the Republic of Lithuania. Mr Malin will be appointed as a member
of the company's audit committee.

Commenting on the board changes, Mike Neville, Non-Executive Chairman, said:

"On 4 July 2017, we announced our intention to appoint an additional
non-executive and I would like to welcome Sam to the board. He has a wealth of
experience across multiple industry sectors and his depth of knowledge and
contacts will add significant value. We look forward to working him as we go
forward."

Someone bought 948 shares @ 5.7p at start and than sold 948 @5.00p an hour later making a loss of £7.00 + broker fee and stamp duty.....:O

Yes, I recall there used to be a different holder of > 3%....but I think he sold most about 1-2 yrs ago....perhaps when 'Gary' was achieving his v large holding

in hindsight (always easy !) he appears to have sold close to the bottom....perhaps was tired waiting....

in last 18 months the big holders and the dirs have I think all been buying

..definitely a few large big holders that hold most of the shares I think...very illiquid , as shown imo by the price moves due to fairly smallish value of shares traded....

Smithie . yesterday there was another one for 6.6k (150000 shares) as well. If I remember correctly, there was a another gentleman who was in E cigarette wholesale business, held quite a few shares. It might be him who is off loading last few of his shares......a pure guess on my part. I forgot his name but I'm sure someone will remember.

only 2 big trades showing in recent days I think...

11k pnds yesterday and 7k pnds just now....(other trade at 3k pnds looks like a bed and sipp....since identical number of shares., hence nett trade of 0..)

while the share price has moved up a lot

Smithie - Atlas bought 1.4m shares.

Yesterday you couldn't buy any size online but could sell easily, some large sell were absorbed easily. I have mentioned before someone is very hungry for all the stock they can get their hands on.....imho.

I suspect that with new CEO arriving and Andrew Wilson taking a back seat this would now allow for the current board to increase their stakes as before it was running at over 29%.

Also i would like to see a dividend mentioned soon from the company as it would instill confidence in the future growth.

In Jan 2017 they reported increasing to hold 19% of CLTV

(one of the directors has a French/Swiss name... Philippe....and one of the co-founders of CLTV is French

Atlas issued RNS in Jan....that had bought more shares...
and everyone and their friend was buying last year......(incl 'Gary' if my memory is correct)

Gonna cross my fingers, keep holding and see what news comes out in the coming months.
Existing underlying numbers look good.....such as assets, cashflow, cash etc.

Philjean ; Market cap is still only £2.7m at yesterdays close. With today's RNS stating saving and increasing rev in Africa and Asia and with hardly any free stock out there this can run to 10p plus in no time and still be way undervalued......imho.

CEO buying around here will be a cherry on the cake for share price Remember Atlas bought 1.4m shares in Jan 2017, so something is happening behind close doors for sure.

T/O last year £12M - cost of sales £11M.

So "a substantial and material reduction in the annual costs" is a very large number and will go straight to the bottom line!

"Whilst the specific terms are subject to strict confidentiality, the new agreement (the "Agreement"), which replaces with immediate effect the previous agreement in place with the Supplier, is expected to lead to a substantial and material reduction in the annual costs payable by Cellcast in respect of the services provided to the Company under the Agreement. The Agreement is for an initial 3-year term, with a one-year break clause."

Can anybody shed light on possible numbers involved ? As my understanding is that bandwidth costs are into 7 figure amounts each year.

P.S. I would think now is a good time for the new CEO to do some share purchases on the back of this substantial news.

I like the sound of the RNS today - lowering the major direct cost at a stroke!

Profit margins up, with immediate effect.

Ultra low P/E of 4 already so this is looking very undervalued.

Take-over coming?

Hopefully none of those cos then channel work back to private cos where any dirs or mngrs are owners !

New MD was the genrl mngr of CLTV ..good..

But !!

He was & is also a dir. at 5 other cos !!

& the workers also have a few cos each ??

The mngrs, dirs are dedicated to this co. or are all tired from working on the side at their own ventures ??

If staff & bod have good ideas do they implement them at CLTV or at their own little cos ??!!

I would suggest G.Lyons
...has a big stake in illiquid co. so he cant offload it easily and is hence very keen on co. success.

And someone to keep an eye on the bod would be good imo

With
- some turnover handled by co. owned by the 2 founders ...in Hong Kong !
- Follet..a co-founder..a non-exec getting paid 60k/yr in a micro cap co. fighting yr to yr to keep going...big reward while shareholders never get anything, nothing !!
- bod renumeration being INSANE imo for microcap
( compare bod pay vs ALL of the rest of the staff that produce the turnover & gross profit, ratio is nuts)

Phil, A good set of results with the new fronts adding to the bottom line and £1.1m or more in cash is a nice place to be.
The decline of the adult UK side has been no surprise for a good number of years now but the management are always keen to remind us every year just in case we forgot.
Finding the best way out or forward with the adult side is a frustrating one after so much work and money invested, with this i hope the directors find a good solution and don't let all the new profitable revenue streams be eaten into by a possible loss making UK side. Possible negotiations on bandwidth costs for Sky, Freeview and Freesat channels could be the make or break for the Uk side, so wait and see.
The East Africa/Kenya operation is very impressive and i hope that we can see this replicated with new customers in other countries.
The Swiss treasury investment is doing very well and the Global Gaming in HK is starting to payback as well,though the Giraffe investment still has its head in a tree for now.
So all in all a good set of results.
