  Purchase of Shares by the Company's Employee Share Participation Trust (the 
                                    "ESPT") 
 
On 09 March 2011 the Company was notified that New Shares of EUR 3.28 in the 
capital of the Company ("Ordinary Shares") was purchased by the trustees of the 
ESPT as detailed below:

The ESPT is a trust for the benefit of employees of the Company and its 
subsidiaries ("Group"). Following this transaction, the trustees now hold a 
total of 2,288,872 Ordinary Shares of EUR 3.28 each representing 2.849% of the 
Company's issued share capital of 80,333,190. 
Dane Douetil, Scott Egan, Ray Cox, Jonathan Turner, Matthew Wilson, Malcolm 
Beane, Lorraine Denny and Baldeep Johal, all of whom are persons discharging 
managerial responsibilities, have an interest in the ordinary shares acquired as 
potential beneficiaries under the ESPT in respect of their participation in the 
Company's share schemes. 
 
This notification is made in accordance with Rule 3.1.4R (1) (a) of the 
Disclosure and Transparency Rules
