Transaction in own shares and Directors Shareholdings

Brightview plc announces that on 12 September 2007, it purchased for
cancellation 175,000 of its ordinary
shares at a price of 25.25 pence per share, in accordance with the authority
granted to it by shareholders at the Extraordinary General Meeting held in
connection with the disposal of the entire issued share capital of Brightview
Group Limited to British Telecommunications plc.

Following the purchase and upon cancellation of these shares, the number of
ordinary shares with voting rights in issue (excluding Treasury shares) as at
close of business on 12 September 2007 will be 45,068,336 and the number of
ordinary shares in Treasury will be 2,989,880.

The Company also announces that on 12 September 2007, it was notified that
Charles Fairbairn sold 573,000 ordinary shares at 25.25 pence per share. Mr.
Fairbairn's self-invested pension plan subsequently purchased 573,000 ordinary
shares in the market at 25.25 pence per share. Following these transactions, Mr.
Fairbairn remains beneficially interested in 1,553,000 shares or 3.45% of the
total issued share capital of Brightview plc.
