Presumably the Boohoo Directors and the Kamani Family are now praying that CoVid19 restrictions will prevent Boohoo PLC from having to invite all Boohoo shareholders to attend it's A.G.M this year.



You can just imagine all those AWKWARD shareholder questions being asked by both small private investors and the large City institutional shareholders, with questions like:

"Mr Kamani please explain why Boohoo introduced a Senior Management Incentive Scheme that gives away £150 million worth of shareholder money to yourself and to other Kamani family members"

"Mr Lyttle why was the Senior Management Incentive Scheme NOT officially APPROVED by Boohoo shareholders and put to a shareholder vote"

"Mr Kamani why did you not tell us about all the litigation, especially the U.S. Class Action lawsuit"

"Mr Kamani why did you waste £85 million worth of shareholders money on those dead Arcadia brand names"

etc, etc.

The Moral to the story is: ALWAYS GET IT NOTED DOWN IN WRITING

Back in 1998 I began working with Mr Kamani providing IT consultancy services for his business, then known as Pinstripe Clothing Co, (Wasabi Frog)

In February 2006, Mr Kamani approached me to develop a new website to sell clothing online.

I agreed to do the work in return for a 10 per cent share in the company by way of remuneration and I spent almost two years building the infrastructure for the website and developing bespoke stock management software as part of the process.

I also designed and created all the coding of the website, the database, integrated stock lines, organised and bought equipment for photoshoots, decided the look and feel of the website and it was me that selected the BOOHOO logo.

Although Mr Kamani now disputes this, I was also involved in the management side of Boohoo, including negotiating contracts, placing orders, dealing with complaints and working on commercial issues beyond the website, including developing key ideas for concepts and running marketing campaigns.

Stupidly, nothing was placed in writing and I was never remunerated or rewarded for the work undertaken for Mr Kamani or the Boohoo brand and website.

When I look back on all those years, and how much time and energy I expended creating the Boohoo e-commerce platform and making a success of the business during the early years, it is very frustrating indeed.

Before having any dealings with Mr Kamani, always get things AGREED in writing, first.
