                                Grant of Options


On 7 February 2007, the Company granted options over ordinary shares of 1p to
the following Directors at an option price of 5 pence, in accordance with the
recommendations of the Remuneration Committee:

These options are being granted under the Blueheath Holdings PLC Senior
Management Incentive Scheme, the terms of which were approved by shareholders at
the Annual General Meeting of the Company held on 13 September 2006. The terms
of the option scheme are as detailed in the 4 March 2006 annual report and
accounts, save for an amendment to the exercise price of the options from 20
pence to 5 pence. This amendment follows the recent placing by the Company
announced on 26 January 2007 and consultation with major shareholders.
