Does seem correct. Rhein was tulips subsidiary. It was financed through the years by intercompany loans from tulip.
When BCE reversed into Rhein they bought the intercompany loan for one euro and Tulip was given 30 percent of BCE.
Tulip also bought a fair percentage in the placing so are well committed to the play here which is good imho.


Long story short BCE is a clean debtfree company.

There will be a number of Wells to be drilled as part of the full field program. The full field program will target several different horizons hence each has a different CoS ranging from 70% to 40% as they are exploration Wells but as seen with SCH-2 each Well drilled will significantly derisk the field as more and more of the resource is proven up and moved from the Contingent category to the Reserves category. The full field development has an NpV of £280m based on the base case numbers but as seen with SCH-2 this can increase significantly...

Not sure thats a loan to be paid by BCE Jung, Judging by the fact its actually included in the total assets line I'd say is most likely the intercompany loan between Tulip shareholders and Rhein that BCE bought for 1 Euro.


"As part of the total consideration, Beacon will purchase the Sellers Intercompany Receivable, which is the
debt owed by Rhein Petroleum to Tulip pursuant to a loan agreement between Tulip and Rhein Petroleum
dated 21 July 2016 for total consideration of EUR 1 (the “Intercompany Receivable Consideration”)."

Euclid is clearly stated in the Rhein takeover rns; "As at 30 June 2022, Rhein Petroleum reported unaudited total assets of EUR11.9 million and net liabilities of EUR12.9 million (including EUR22.0 million shareholder loan liability which will be acquired by Beacon at Completion) under German accounting standards"
