                                  MATERIAL FACT 
 
 
At the proposal of the Appointments & Remuneration Committee, the Board of 
Directors of Banco Santander has resolved to appoint Mr. Manuel Soto Serrano as 
Chairman of the Audit & Compliance Committee, replacing Mr. Luis Ángel Rojo 
Duque, who has held such office for the maximum term of four years stipulated by 
law and the Bylaws of the Bank. Mr. Luis Ángel Rojo Duque continues being a 
member of the Audit & Compliance Committee.
