BANK OF MONTREAL AND ROYAL BANK OF CANADA
STATEMENT ON COMPETITION BUREAU REPORT

TORONTO December 14, 1998 - Bank of Montreal and Royal Bank of Canada confirmed
today that they have received a letter from the Competition Bureau setting out
its view on the competitive impact of their proposed merger.

The Bureau has identified competitive concerns in a number of product and
geographic markets in relation to branch banking services to individuals and
businesses, credit cards and securities.

The Competition Bureau has outlined the kinds of remedial measures that have
historically been applied to address competitive concerns.  To date, there have
been no discussions concerning possible solutions.

It is expected tht the Minister of Finance will issue a statement regarding the
proposed mergers later today.
