Annual General Meeting, 16 June 2022

All resolutions were passed at the Annual General Meeting of the Company held on 16 June 2022, including those detailed below:

Special Business

-- Shareholders approved an ordinary resolution renewing the Directors' general authority to issue shares up to an aggregate nominal value of GBP5,167,748 (being approximately one-third of the nominal value of the issued share capital as at 1 April 2022. Shareholders approved a special resolution to allot a limited number of shares for cash on a non pre-emptive basis up to GBP1,550,325 (being approximately 10% of the nominal value of the issued share capital as at 1 April 2022). These authorities will expire at the earlier of 15 September 2023 or at the conclusion of the next Annual General Meeting of the Company, unless previously revoked, varied or extended.

-- Shareholders approved a special resolution authorising the Company to buy-back its own shares up to a maximum of 14.99% of the Company's issued share capital, being 9,295,746 ordinary shares of 25p. This authority will expire at the conclusion of the AGM to be held in respect of the year ending 31 January 2023 unless previously varied, revoked or renewed.
