                             ANNOUNCEMENT TO
                      THE LONDON STOCK EXCHANGE AND
                         THE OSLO STOCK EXCHANGE


It was today intimated to Axis-Shield plc that FMR Corp and Fidelity
International Limited and their direct and indirect subsidiaries, being non-
beneficial holders (together "Fidelity Investments") and shareholders
collectively holding more than 3% of the shares in Axis-Shield plc, has acquired
a further 464,381 Ordinary Shares in Axis-Shield plc.

Before the relevant acquisitions, Fidelity Investments held 3,923,411 Ordinary
Shares in the capital of Axis-Shield plc, representing 8.08% of the Company's
issued share capital. After the acquisitions, Fidelity Investments' shareholding
is increased to 4,387,792 Ordinary Shares in the capital of Axis-Shield plc,
representing 9.04% of the Company's issued share capital.

This announcement requires to be made on the London Stock Exchange and is
repeated in Norway for Oslo Stock Exchange purposes in accordance with the
"equivalent information" rule (Rule DR 2.4 of the UK Listing Authority Rules).
