                         ANNOUNCEMENT TO OSLO STOCK EXCHANGE 
                                          AND
                                  LONDON STOCK EXCHANGE


It was today intimated to Axis-Shield plc that Ronny Hermansen, the Norwegian
based financial director of the Scandinavian operations of the Axis-Shield Group
and, as such, a primary insider of Axis-Shield plc for the purposes of Section
3-1 of the Norwegian Securities Trading Act 1987, has today purchased 600
Ordinary Shares of 35p each of Axis-Shield plc at a price of NOK 31.00 per
share. This increases Mr Hermansen's beneficial interest from 9,558 Ordinary
Shares to 10,158 Ordinary Shares.


This announcement requires to be made on the London Stock Exchange and is
repeated in Norway for Oslo Stock Exchange purposes in accordance with the
"equivalent information" rule (Rule 9.9 of the UK Listing Authority Rules).
