                 Notification of Substantial Interest in Shares


Laura Ashley Holdings plc (the "Company") received notification on 14 April 2003
of a notifiable interest (as determined in accordance with Section 198 of the
Companies Act 1985, as amended) in the shares of the Company from Goldman Sachs
Group, Inc ("GS Inc").  Details of the interest were disclosed by the Company in
its rights issue circular dated 16 April 2003 as required.  On 16 April 2003, GS
Inc notified the Company that GS Inc did not have a notifiable interest (as
determined in accordance with Section 198 of the Companies Act 1985, as amended)
as earlier indicated in the original notification that GS Inc had sent to the
Company.
