Meyer and Jaros share industry experience



Derek Meyer and Andrew Jaros have joined ARC International as Vice President of Marketing and Vice President of North American sales, respectively.

The two semiconductor-industry veterans will provide valuable knowledge and insight as ARC continues to establish its leadership position and expand its extendible processor-core products and services.

Derek Meyer joins ARC with 20 years of semiconductor, embedded systems and software experience including over 10 years in Semiconductor IP. He was most recently VP of Business Development and Strategy at Ceva and prior to that spent 6 years at MIPS Technologies, first as VP of Marketing and Sales and later VP of Field Operations.

"I believe configurable processors will be at the core of the most interesting new SoC designs, and ARC's innovative technology will be the foundation for many of these exciting new products", said Meyer.

Andy Jaros has over 15 years of experience in the semiconductor industry.
Prior to joining ARC, he was the Director of Strategic Partner Sales for ARM Ltd., for the last two years out of more than his six years tenure at ARM.
Before his key revenue-generating roles at ARM, Jaros worked at Motorola in Sales. Jaros has also held the position of President and GM of JN Blair and Co, a closely held distribution business outside the semiconductor industry.

RESULTS FOR THE SIX MONTHS ENDED 30 JUNE 2004

ARC International plc (LSE: ARK), a world leader in configurable processor cores
and application platforms for digital media, consumer and communications devices
announces its unaudited financial results for the six months ended 30 June 2004.

Highlights:

-- Turnover £6.2 million ($11.3 million) from £5.3million ($8.5 million) in 1H
2003, up 18% in sterling and 33% in dollars.

-- Operating costs before exceptionals, amortisation and depreciation £10.3
million: reduced by 26% over 1H'03 (1H 2003: £14.0 million)

-- Pre-exceptional net loss £4.1 million: improved 59% over 1H 2003 (1H 2003:
£10.0 million)

-- Net loss including exceptionals £3.3 million, improved 66% over 1H 2003 (1H
2003: £9.7 million)

-- Operating cash outflow £5.2 million: reduced 45% year over year (1H 2003:
£9.5 million); year end cash at £36.2 million

-- 11 new processor licenses signed, including 5 new licenses for the ARC
600(TM) core

-- Strengthened top management team with 3 new appointments

-- Completed sale of peripherals business to TransDimension, Inc. for £3.6
million resulting in a provisional net gain of £1.9 million and initial cash
proceeds of £2.5 million in this period

Commenting on the results, Carl Schlachte, President and CEO, said:

"We are encouraged by several significant improvements in ARC's business in the
first half of 2004. Our processor license revenue improved with the addition of
11 new licenses, including 5 for the ARC 600 processor core. Additionally, we
had record royalties and shipments of products based on ARC processors.

We have sold our USB business, which reduces our stated restructuring charge and
contributes to working capital. Our turnover is up, costs and headcount are down
and our pre-exceptional net loss has reduced by 59%, year-on-year. In the second
half, our focus will be on completing our restructuring plan and adding new
partners and licensees for our recent product offerings."

Outlook

We are encouraged by the results we achieved in the first half of the year. Our
processor business grew both in new licenses and in royalties from products
shipping for previous license sales. The sale of the USB business will allow the
company to fund working capital from the sale rather than the current cash
balance. Cost reductions are on track, and when combined with the revenue growth
achieved, enabled measurable progress in closing the gap towards profitability.

In the second half, our focus will be on completing our restructuring plan and
adding new partners and licensees for our recent product offerings.

Express Logic ThreadX® RTOS support extended to ARC™ 600 and ARC™ 700



Looks like a good sign that the third party providers are starting to support ARC's new processors. We had Greenhills some time ago, and now Express Logic. Hopefully this trend will continue.

The sale is positive as the company cut the loss making operation and concentrate on the higher margin business in the growth area. I'll be waiting to see the result and the evidence that the company has build up momentum of winning more market share before buying.

SALE OF USB BUSINESS TO TRANSDIMENSION INC

The Board of Directors of ARC International plc (LSE: ARK), a world leader in
user-customizable processors and development tools for System-on-Chip (SoC)
design, and real-time operating systems for embedded control, today announces
the sale of its Peripheral Connectivity assets to TransDimension Inc for
consideration of £3.6 million. These assets include the ARC USB and Ethernet IP
cores, CertiPHY programme and support tools. TransDimension is a leading
provider of USB connectivity solutions for embedded applications.

The asset sale is primarily the USB business that is located in Nashua, New
Hampshire. At the time of the announcement of ARC's preliminary results in
February 2004, the USB business was scheduled to be consolidated into the
Elstree, UK facility resulting in the closure of the Nashua site. As a result of
today's announcement, the USB business, as well as the related assets and
facility, will be sold with the majority of its employees transferring to
TransDimension. The total turnover related to this business in 2003 was £2.9
million with an estimated operating loss of £1.3 million. Additionally, the
estimated restructuring charge announced in February will be reduced by £0.9
million and is currently expected to be approximately £1.3 million. Proceeds
from the sale will be used to fund working capital requirements in the second
half of 2004.

This transaction represents significant progress towards the company's goal to
reduce its cost structure and drive toward profitability by focussing primarily
on processor development. ARC will continue to work with TransDimension as a
strategic partnerand will resell their USB products when combined with its
processor-based solutions.

ARC International will provide further details on the transaction and the
overall business at the interim results announcement. Complete results for the
six months to June 30th will be issued on July 21st.

Emblaze is interesting, but they are a semi and in the current market environment they have a higher valuation than an IP provider. That may turn round again in the future though.

Right now ARC is not even seen as being worth its cash pile. It's trading 20-30% down on cash in the bank.

Let's see what the first half announcement is like, that will define where this ship is going.

I dont know if its comparing like with like but Emblaze Semiconductors were sold yesterday for 52M US dollars. Revenues were low (Im not sure the amount but Im pretty sure sub 5M US) and operating loss was 8.5M US dollars. And the company only had net assets of 750K. With the 50M R&D invested in ARC since 2000 Id hope ARC is worth a lot more than its cash pile
