For immediate release 31 March 2006 Amteus plc ("Amteus" or "the Company") Director Shareholding The Company has been notified that Jeffrey Morris, Executive Deputy Chairman, has today transferred 173,000 ordinary shares to The M&L Pension Scheme, of which he is one of the beneficiaries. Following the transfer, The M&L Pension Scheme now holds 454,818 ordinary shares, representing 1.32 per cent. of the issued share capital of the Company. Jeffrey Morris' beneficial shareholding in the Company remains 19,894,488 ordinary shares, representing 57.72 per cent. of the issued share capital of the Company. The shares to be transferred are currently subject to an AIM Rule 7 lock-in. Consequently, The M&L Pension Scheme has undertaken not to dispose of any interest in the share capital of the Company (subject to certain limited exceptions) until 18 January 2007 and have further undertaken for a period of 12 months thereafter not to dispose of such interests without the prior written consent of John East & Partners Limited, the Company's Nominated Adviser, such consent not to be unreasonably withheld or delayed.
