Smaller Related Party Transaction

Amati VCT plc (the "Company") announces that Peter Lawrence, a director of the Company, has subscribed for 72,734 new ordinary shares at 96.24p per share (totalling GBP70,000) in the Offer for Subscription announced on 27 October 2017. In addition, two family members, Michael Lawrence and Louise Lawrence, each subscribed for 72,734 new ordinary shares (totalling GBP70,000 each). These shares were acquired at the same price as subscriptions by other shareholders that have subscribed for shares in the allotment dated 20 November 2017.

This transaction is deemed to be a smaller related party transaction within the definition of Listing Rule 11.1.10R because this dealing, when aggregated with previous subscriptions in the last 12 months (the subscription for 136,184 shares each by Peter Lawrence, Michael Lawrence and Louise Lawrence at 73.43p on 1 February 2017) exceeds the 0.25% threshold as set out in LR11.1.10R.

SPARK Advisory Partners Limited, the Company's sponsor, has provided written confirmation that the terms of the agreement are fair and reasonable so far as the shareholders of the Company are concerned.

Following this transaction Peter Lawrence has 375,844 shares in the Company, amounting to 0.49 per cent of the issued share capital, as enlarged by this allotment. Michael Lawrence and Louise Lawrence have 236,704 and 260,952 shares respectively in the Company, amounting to 0.26 per cent and 0.30 per cent respectively of the issued share capital, as enlarged by this allotment.
