As I suspected, offer rejected. This obviously spells danger for AAA time is not on their side. Strange that such whizz kids at AAA did not secure more support from Audio board. Hopefully an increased offer might succeed, but it becomes difficult from here.
Holders themselves don't like any part of what was on offer.

To be honest I have not looked too carefully into Audioboom as it appeared to come out of the blue.I have been watching AAA for over a year now, in fact, my first purchase was 2 pence a share.

The reality is that all such stocks are pretty high risk by there very nature so I never invest more than I can afford to lose. It is in the bit of my pension that I play around with in the hope of hitting something which takes me to the lifetime allowance.

There will undoubtedly be a few folk who want to take some money off the table when grey market trading is enabled. However, every significant holder I’ve spoken to is supremely confident this will be nearer 150p by the end of the year. I will continue to hold for life changing gains. And I will indulge myself in a little schadenfreude for those who are short.

They need an exit ................. to mitigate already substantial financial losses.

I would agree Cossie, however, the concept of 'fight or flight' comes in where a perceived danger is evident. I have met many people over the years who have regularly crystallised their losses during market downturns.

Does it not depend on what price we see in the grey market? I doubt anyone would sell below 80p. The shorts were opened well below this. Not sure how they are going to cover.

AAA have advised that they intend to establish a market for trading outside of AIM & prior to listing on an alternative market. If we so have a situation where the shares have been 'shorted' then there is an incentive to encourage an environment where more shares are 'available' than the demand to purchase. One would expect that would result in a falling price & the resultant opportunity for anyone engaged in 'shorting' to mitigate some of their losses.

I cannot comment on such things because I am an authorised adviser, but there are a number of regulars on here that seem to have decent knowledge. There is also 'a bot' posting very negative stuff which appears to have been programmed by someone/persons wishing to create a 'panic sale situation' amongst holders.

A few hurdles to overcome first of course but the potential really is there for this to rocket now

All Active Asset Capital Limited

Statement regarding the possible acquisition of Audioboom Group plc

The Board of All Active Asset Capital Limited ('AAA') announces that it is in constructive discussions with the Board of Audioboom Group plc ('Audioboom') about a possible offer for Audioboom. AAA has obtained irrevocable undertakings to accept such an offer on the terms set out below from beneficial owners of 4,147,602 shares in Audioboom ('Audioboom Shares'), representing 26.4% of the issued share capital of Audioboom.

Allenby Capital Limited ('Allenby') were nominated adviser to both AAA and Audioboom and informed AAA yesterday that, due to the conflict of interest, it has resigned as Nominated Adviser and Broker to AAA. A separate announcement is being made to that effect as required by the AIM Rules.

Offer terms

Any offer, were it to be made, would consist of 12.5 new AAA shares and 200p in cash per Audioboom Share (the 'Offer').

As an illustration only, based on the price of 80p per AAA Share at which the recent AAA Placing was announced, the proposed terms would value each Audioboom Share at GBP12.00, being a premium of 35.6% over the closing mid market price of 885p at close of business on 16 July 2021, being the latest practicable date prior to this announcement.
