By the tenth day all holders of at least 1% of the shares in issue must declare their "Opening Position (Rule 8.3) So far 12 parties' including the Board have done so and they total 83,027,108 shares which is 51.15% of those in issue. Three of them have managed to declare more than once! - so I have ignored the earlier declarations in each case. In the meantime, the two connected parties, Liberium and Investec, have declared combined totals of 2,740,182 purchases and 2,49,401 sales(Rule 8.5). If one assumes that all those sales have been to Balfour then that equates to only 1.54% of the shares in issue. On day one the RNS stated that holders of 35.34% of the shares had given irrevocable undertakings to accept the offer. Meanwhile ADFN shows 20,281,180 shares have been traded (9,569,127 Buys, 3,911377 Sales and 6,800,676 others) The Buys equate to 5.89% of the shares in issue. If one looks on the black side and assumes that all the "others" are Sales then the sales figure would equate to just 6.6%. My point? Holders are not exactly falling over themselves to give away their shares at 36p. Add 35.34% to 1.54% leaves Balfour a long way short of the finishing line.Somebody needs to up their game. Please feel free to shoot my ramblings full of holes. I'm not quite in the rule 8.3 league but am keeping a very tight grip on my hard earned shares.Please DYOR. | ajk479 | |

18/9/2015 15:16 | Spaceparallax you are an expert in very small angles, but in this case if 90%+ of the other shareholders accept the bid they they can buy your shares regardless of if you want to sell them or not.The current price is very tight from an arbitrage point of view and there seems to be lots of small private investor type buying so maybe there could be a counter, only time will tell! | exbroker | |

17/9/2015 10:34 | Sadly, I think the truth is that we have higher hopes but Balfour just had to pay for the state of the company today with a positive outlook for tomorrow and as our share price languished for the past 18 months their timing was clever. If the price in the future was in our minds headed to 40p or 50p, by paying 36p now they have agreed that is fair with our board. I am holding out but I am assuming a counter-bid would have to appear over the next week otherwise this is all over. | roddyb | |
