Posted at 02/4/2014 23:02 by stemis Initial observations.Acquisition is for shares at a price of 41.07p. Leek is standing down as a director. Resulting group will have proforma net assets of £3,169,000 and net cash of £4,180,000. Mi-pay made operating losses of £1,815,000 on turnover of £3,271,000 for year ended 31 December 2013. 3 customers made up 61% of turnover. Options over another 11.2% of share to be issued to management at a strike price of 41p. On admission Albion will hold 36.4% of shares, Octopus 21.1% and IsPartners 9.2%. The first two are locked in until 30 November 2015. |
Posted at 02/4/2014 15:47 by stemis No assets and no profits. I can't say its the usual sort of business I'd invest in. However, presumably there's some rationale for the valuation of £9m that's more than a twinkle in the owners eyes. Knowing Leek I imagine he must has seen some credible projections that lead to profit and cash flow. I guess well just have to wait for the admission document. Lets hope the share price moves up to 41p. |

Thanks.Hopefully any discussion of this share will be concentrated here although I doubt there will be much until either they execute a Reverse Takeover or decide to return funds to shareholders if such a candidate isn't found. |
