Announcement of transfer of engagements and completion of Housing Association consolidation
The Board of Clarion Housing Group Limited announces that it has successfully concluded the transfer of engagements of Old Ford Housing Association Limited to Clarion Housing Association Limited.
As at today, Clarion Housing Association Limited is now the sole Guarantor pursuant to (and as defined in) the Security Trust Deed in respect of the GBP385,000,000 7.25 per cent. Fixed Rate Secured Notes due 2038 issued by Circle Anglia Social Housing plc, GBP250,000,000 5.20 per cent. Fixed Rate Secured Notes due 2044 issued by Circle Anglia Social Housing plc and the Clarion Funding plc Secured Euro Medium Term Note Programme established 29 September 2017.
This follows the transfer of engagements to Circle Thirty Three Housing Trust Limited of Wherry Housing Association Limited (30 September 2016), Mercian Housing Association Limited (30 September 2016), South Anglia Housing Limited (1 December 2016), Roddons Housing Association Limited (1 February 2017), Mole Valley Housing Association Limited (8 May 2017), Merton Priory Homes Limited (1 June 2017) and Russet Homes Limited (1 November 2017); the subsequent amalgamation of Affinity Sutton Homes Limited and Circle Thirty Three Housing Trust Limited to form Clarion Housing Association Limited (2 January 2018) and the transfer of engagements of Old Ford Housing Association Limited to Clarion Housing Association Limited (1 March 2018).
Clarion Housing Association Limited also remains the sole Guarantor pursuant to (and as defined in) the Security Trust Deed originally dated 20 December 2005 (as amended and restated on 4 July 2008) in respect of the GBP250,000,000 5.981 per cent. Secured Bonds due 2038 issued by Affinity Sutton Capital Markets plc and GBP250,000,000 4.25 per cent. Secured Bonds due 2042, also issued by Affinity Sutton Capital Markets plc.
