CORRECTION TO TRANSACTION IN OWN SHARES ANNOUNCEMENT

This announcement replaces that released on 21 January 2015 at 17.40 under RNS Number 8092C

There are two changes to the previous announcement in relation to the total number of Ordinary Shares and ZDP Shares in issue (excluding treasury shares) as follows:

Ordinary Shares: 15,593,334 not 15,596,112 as previously stated.

ZDP Shares: 20,931,176 not 20,934,905 as previously stated.

ACORN INCOME FUND LIMITED (THE 'COMPANY')

TRANSACTION IN OWN SHARES

The Companyannounces that on 21 January 2015 it purchased 25,000 Ordinary Shares of 1p each in the capital of the Company and 33,558 Zero Dividend Preference Shares of 1p each in the Capital of the Company (the 'ZDP Shares') at an average price per share of GBP3.06 each per Ordinary Share and GBP1.2925 each per ZDP Share.

The Ordinary Shares and ZDP Shares purchased will be cancelled upon acquisition. Following the above purchase, the total number of shares held by the Company in treasury is as follows:

Ordinary Shares: 1,732,222

ZDP Shares: 2,325,190

Following the above purchase, the total number of Ordinary Shares and ZDP Shares in issue (excluding treasury shares) is:

Ordinary Shares: 15,593,334

ZDP Shares: 20,931,176

The ZDP Shares do not have the right to attend or vote at any general meeting of the Company unless the business of the meeting includes any resolution to vary, modify or abrogate any of the special rights attached to the ZDP Shares. Accordingly, the total number of voting rights in the Company is 15,593,334. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
