Aberdeen Private Equity Fund Limited (the "Company")

Compulsory Redemption of Shares and Total Voting Rights

As announced on 4 April 2018, the Board of Directors of the Company resolved to redeem approximately 50% of the Company's issued share capital as at close of business on Thursday 5 April 2018. Accordingly, 54,632,179 Shares were redeemed on Thursday 5 April 2018 and have now been cancelled. The redemption proceeds due on the redemptions of these Shares will be paid on or around 17 April 2018.

Following this compulsory redemption, those Shares not being redeemed have been re-issued under the new ISIN GG00BD5G6386 and are available for transactions from and including today.

The total number of Shares in issue is now 54,499,020, of which no Shares are held in treasury. Therefore, the number of Shares with voting rights attached now in issue is 54,499,020 and this is the figure which should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
