PUBLICATION OF THE 2013 ANNUAL RESULTS OF YANCOAL

AUSTRALIA, AN OVERSEAS SUBSIDIARY CONTROLLED BY

YANZHOU COAL MINING COMPANY LIMITED

 

Yancoal Australia (a subsidiary controlled by the Company), the shares of which are listed on the ASX, published its 2013 annual results announcement.

This announcement is made pursuant to Part XIVA of the Securities and Futures Ordinance and Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

On 27 February 2014, Yancoal Australia Limited (“ Yancoal Australia ”) (a subsidiary controlled by Yanzhou Coal Mining Company Limited (the “ Company ”)), the shares of which are listed on the Australian Securities Exchange (“ ASX ”) (stock code: YAL), published its 2013 annual results announcement.

The board of directors of the Company would like to draw the attention of the Company’s shareholders and the public investors to the following major audited financial data and indicators of Yancoal Australia which were prepared in accordance with the Australian Accounting Standards for the year 2013:

The merger of Yancoal Australia and Gloucester Coal Ltd (“ Gloucester ”) has completed by the end of June 2012. For the purpose of comparing the relevant data, the production of Yancoal Australia for the year 2012 includes the production of Gloucester. According to the merger agreement between Yancoal Australia and Gloucester, Yancoal Australia has excluded the assets of Cameby Downs Mine and Premier Mine by the end of June 2012. The operation information of Yancoal Australia for the year 2012 does not include the data of Cameby Downs Mine and Premier Mine for the year 2012.

Given that there are differences between the Australian Accounting Standards and the Chinese Accounting Standards, there may be differences in certain items between the 2013 annual financial report of Yancoal Australia prepared in accordance with the Australian Accounting Standards and the financial data for the year 2013 provided by Yancoal Australia to the Company for the consolidation in accordance with the Chinese Accounting Standards.
